1. Introduction

These Terms of Service govern your access to and use of the AdLab platform, including our website, applications, and related services.

By creating an account, accessing, or using AdLab, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Platform.

2. Definitions

  • Platform: the AdLab website, web application, APIs, and associated services.
  • User: any individual or entity registered on the Platform.
  • Brand: a User seeking collaborations with influencers for sponsored campaigns.
  • Influencer: a User seeking collaboration opportunities with brands.
  • Campaign: a sponsored content opportunity created on the Platform.
  • Content: text, images, videos, media, or other materials created, uploaded, or shared through the Platform.

3. Account Registration

  • You must provide truthful, accurate, and complete information and keep it up to date.
  • Each individual or business may maintain only one account unless expressly permitted otherwise.
  • You must be at least 16 years old to use the Platform, subject to any required parental or guardian consent.
  • You are responsible for safeguarding your credentials and all activity under your account.

4. User Conduct

AdLab may investigate reports and suspend or terminate accounts that violate these rules.

  • Fraud, misrepresentation, and manipulation of metrics are prohibited.
  • Fake profiles, impersonation, and deceptive profile information are prohibited.
  • Harassment, abuse, hate speech, and threats are prohibited.
  • Spam and unsolicited communications unrelated to platform use are prohibited.
  • Uploading or sharing material that infringes third-party rights is prohibited.

5. Campaigns and Collaborations

  • AdLab acts as an intermediary platform and is not a party to agreements between brands and influencers.
  • Users are solely responsible for negotiating, documenting, and performing their collaborations.
  • Disputes about deliverables, timing, quality, or compensation must be resolved directly between the participating users.

6. Content and Intellectual Property

  • Users retain ownership of the content they create and share on the Platform.
  • By sharing content on AdLab, you grant AdLab a non-exclusive licence to display and distribute that content only as needed to operate and promote the Platform.
  • Rights to campaign-specific deliverables are governed by the agreement between the brand and influencer.
  • AdLab may remove content that violates these Terms, the law, or the rights of third parties.

7. Payments

  • AdLab does not process, hold, or transfer funds between users.
  • All payment arrangements must be agreed and completed directly between the relevant users.
  • Displayed monetary values are denominated in euros unless stated otherwise.
  • Each user is responsible for their own tax obligations and compliance.
  • Payment disputes must be resolved directly between the collaborating parties.

8. Privacy

Your use of AdLab is also subject to our Privacy Policy, which explains how personal data is collected, processed, stored, and protected.

9. Platform Availability

  • The Platform is provided on an as-is and as-available basis.
  • Scheduled or unscheduled downtime may occur for maintenance, updates, or technical issues.
  • AdLab does not guarantee uninterrupted access or specific uptime commitments.
  • AdLab may modify, suspend, or discontinue features at any time.

10. Limitation of Liability

  • AdLab is not liable for disputes, transactions, or losses arising between users.
  • To the fullest extent permitted by law, AdLab excludes indirect, incidental, consequential, and punitive damages.
  • Where liability cannot be excluded, AdLab's aggregate liability is limited to the amount paid to AdLab, if any, in the preceding twelve months.
  • Users remain responsible for their own conduct, content, and interactions on the Platform.

11. Termination

  • Users may delete their accounts through settings or by contacting support.
  • AdLab may suspend or terminate accounts that violate these Terms, engage in fraud or illegal activity, or threaten platform safety or integrity.
  • Terms that should survive termination, including intellectual property, disclaimers, and liability provisions, remain in effect after termination.

12. Changes to Terms

  • We may update these Terms from time to time.
  • When material changes are made, we may update the last-updated date and notify registered users by email or in-product notice.
  • Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws applicable to AdLab's operating entity, subject to any mandatory consumer protections or jurisdictional requirements that apply to you.

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
